These Terms of Service ("Terms") govern your use of Osera, an AI-powered application for iPhone, operated by Bloom Street LLC ("Bloom Street," "we," "us," or "our").

By using Osera, you agree to these Terms. If you do not agree, do not use Osera.

Osera is powered entirely by artificial intelligence. You are not interacting with a human. All responses are generated by AI systems. While Osera may feel personal, it is not a real person.

3.1 Service Modifications and Discontinuation

We reserve the right to modify, suspend, or discontinue Osera (in whole or in part) at any time, with or without notice, and without liability to you. This includes changes to features, functionality, pricing, availability, and supported platforms. We are not obligated to maintain, support, or update Osera, and we shall not be liable to you or any third party for any modification, suspension, or discontinuation of the service.

6.4 Safety Protocols

Osera maintains automated crisis detection systems. When expressions of suicidal ideation, self-harm, or immediate danger are detected, you will be shown referrals to crisis service providers including the 988 Suicide & Crisis Lifeline. 6.5 AI Training Data

We do not use your conversations or personal information to train AI models. Third-party AI providers we use have policies against using API data for model training.

6.6 Your Content

You retain ownership of content you submit to Osera. By submitting content, you grant Bloom Street LLC a worldwide, non-exclusive, royalty-free, sublicensable license to use, process, reproduce, and transmit your content as necessary to provide, maintain, and improve the service, including transmission to third-party AI providers for response generation. You are responsible for ensuring you have the right to submit any content you provide.

7. Data, Permissions, and User Compliance

7.1 Device Permissions

Osera may request access to device features including your camera, calendar, reminders, location, photo library, and Apple Music library. By granting these permissions:

7.2.1 Waitlist SMS

When you provide your phone number on osera.io or text JOIN or MINE to (415) 936-7594, you consent to receive up to two (2) text messages: one confirmation when you join the waitlist, and one notification when access is available. No recurring or marketing messages are sent through the waitlist program.

7.2.2 Current Messaging Features

Osera does not currently expose SMS-based group messaging, chat spaces, or voice calling in the shipped iPhone app. The only shipped SMS surface is the waitlist program described above. If we launch coordinated messaging features later, these Terms will be updated before those features become generally available.

7.4 Your Compliance Responsibilities

You are solely responsible for ensuring that your use of Osera complies with all applicable laws and regulations, including but not limited to data protection, privacy, confidentiality, and intellectual property laws.

Specifically, you represent and warrant that:

If you process third-party personal data, confidential business information, medical records, or other sensitive data through Osera, you do so at your own risk and assume all liability.

Osera may perform actions on your behalf, including but not limited to: sending emails, modifying files, interacting with connected services, and executing automations. By enabling these features:

All on-device analysis features respect iOS permission controls. Revoking the relevant permission stops analysis and prevents new data from being synced.

8. Payment and Subscriptions

8.1 Billing

Payments are processed by third-party payment processors. By purchasing a subscription, you agree to the applicable payment processor's terms of service. We do not directly store your payment card details.

8.2 Refunds

Subscriptions are generally non-refundable. Refund requests may be considered on a case-by-case basis at our sole discretion. Contact us at legal@osera.io for billing inquiries.

We reserve the right to change pricing at any time. Price changes will not affect current subscription periods but will apply upon renewal.

9. Intellectual Property

9.1 Our Property

Osera, including its software, design, branding, and documentation, is owned by Bloom Street LLC and protected by intellectual property laws. These Terms do not grant you any ownership rights.

9.2 License to Use

Subject to these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use Osera for personal or internal business purposes.

9.3 Feedback

If you provide feedback, suggestions, or ideas, you grant us the right to use them without restriction or compensation.

10. Disclaimer of Warranties

OSERA IS PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO:

11. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BLOOM STREET LLC AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY:

THIS LIMITATION APPLIES REGARDLESS OF THE THEORY OF LIABILITY (CONTRACT, TORT, NEGLIGENCE, STRICT LIABILITY, OR OTHERWISE) AND EVEN IF WE HAVE BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES.

IN NO EVENT SHALL OUR TOTAL LIABILITY EXCEED THE AMOUNT YOU PAID US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR ONE HUNDRED US DOLLARS ($100), WHICHEVER IS GREATER.

SOME JURISDICTIONS DO NOT ALLOW LIMITATION OF LIABILITY FOR CERTAIN DAMAGES. IN SUCH JURISDICTIONS, OUR LIABILITY IS LIMITED TO THE MAXIMUM EXTENT PERMITTED BY LAW.

You agree to indemnify, defend, and hold harmless Bloom Street LLC and its officers, directors, employees, and agents from any claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising from:

15. Governing Law and Disputes

These Terms are governed by the laws of the State of Delaware, United States, without regard to conflict of law principles.

Any disputes arising from these Terms or your use of Osera shall be resolved through binding arbitration in accordance with the American Arbitration Association's Consumer Arbitration Rules, except that either party may seek injunctive relief in court for intellectual property matters. Either party may bring claims in small claims court as an alternative to arbitration. Bloom Street will pay arbitration filing fees for claims under $10,000.

Opt-out: You may opt out of this arbitration agreement by sending written notice to legal@osera.io within 30 days of your first use of Osera. If you opt out, disputes will be resolved in state or federal courts in Delaware.

YOU WAIVE ANY RIGHT TO PARTICIPATE IN CLASS ACTION LAWSUITS OR CLASS-WIDE ARBITRATION.

16. Export Controls and Sanctions

Osera is operated from the United States. You agree to comply with all applicable export control laws and economic sanctions regulations, including those administered by the U.S. Department of Commerce, the U.S. Department of Treasury's Office of Foreign Assets Control (OFAC), and other relevant authorities.

17. General Provisions

Entire Agreement
These Terms, together with our Privacy Policy, constitute the entire agreement between you and Bloom Street LLC regarding Osera.

Severability
If any provision is found unenforceable, the remaining provisions remain in effect.

Waiver
Our failure to enforce any right or provision does not constitute a waiver.

Assignment
You may not assign these Terms. We may assign our rights and obligations without restriction.

No Agency
Nothing in these Terms creates a partnership, employment, or agency relationship.

Force Majeure
Neither party shall be liable for failure or delay in performance due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, epidemics, government actions, sanctions, third-party service provider failures, internet outages, or power failures.
